Governance
Strong governance, ethical conduct and responsible business practices are essential to AUSTRIACARD’s long-term success. We are strengthening ESG governance, improving sustainability reporting processes and embedding clear expectations for compliance, transparency and accountability across the Group.
AUSTRIACARD HOLDINGS operates under a two-tier governance structure comprising a Management Board and a Supervisory Board in accordance with Austrian company law. Sustainability oversight is being strengthened through defined Group and entity-level responsibilities, quarterly updates to management and supervisory bodies, and the establishment of a Group ESG Committee in 2026.
In 2025, AUSTRIACARD appointed a dedicated Group ESG Manager and introduced a centralised ESG reporting and consolidation tool. These steps improved ESG data quality, consistency and transparency across sustainability dimensions and provide the basis for developing the Group-wide ESG Strategy and climate transition planning.
AUSTRIACARD maintains a comprehensive governance framework grounded in ethical conduct, transparency and accountability. Our Code of Conduct, Group Whistleblowing Policy and Anti-Bribery and Anti-Corruption Policy establish clear expectations for employees, directors, contractors, agents and business partners.
- A new Anti-Bribery and Anti-Corruption Policy was introduced in 2025.
- The Group maintains a zero-tolerance approach to bribery and corruption.
- Zero convictions and zero fines for anti-corruption or anti-bribery violations were recorded in 2025.
- ISO 37001 Anti-Bribery Management System certification is maintained.
AUSTRIACARD works with suppliers and service providers through long-term partnerships, supplier evaluations and contractual arrangements. In 2025, the Global Human Rights and Labour Standards Policy further strengthened expectations for suppliers and business partners, including commitments related to child and forced labour, fair wages and working hours, non-discrimination, freedom of association and supply chain due diligence.
In 2025, AUSTRIACARD joined the United Nations Global Compact, reinforcing its commitment to internationally recognised principles on human rights, labour, environmental protection and anti-corruption.
